Warning Signs When Considering a Merger or Acquisition

  • Son-in-law in charge of engineering
  • Mom does the books
  • Business owner is also operations manager

This list is not meant to be flippant, but to explain a larger truth. In my years of working with virtually hundreds of manufacturing businesses, I've seen a single common denominator: family businesses believe relationships are as important as profits. I'm not saying this is a bad thing, but only that the family relationships create an "X factor" that can drastically alter the true value of business or it's IP.  Unfortunately, this factor is usually negative, and cannot be truly apprieciated until the aquisition or merger has already taken place.
